By accessing the Website or placing an order, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Website.

We will send you an order acknowledgement, but a Contract is only formed between us when we send you confirmation that the order has been accepted (typically by email) or, for digital content or Services, when we begin performance. 8. Pricing and Payment

All prices are shown in British Pounds (GBP) and include VAT where applicable, unless stated otherwise. We take reasonable care to ensure prices are correct at the time of publication, but errors may occur; if we discover a pricing error on your order, we will contact you to confirm whether you wish to proceed at the correct price before dispatching or supplying anything. Payment must be made in full at the time of ordering using one of the payment methods offered on the Website. All payments are processed securely by our third-party payment providers; we do not store your full card details.

9. Your Right to Cancel (Consumer Contracts Regulations)

If you are a Consumer purchasing from within the UK, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 you generally have the right to cancel your order within 14 days of receiving the Products (or, for Services, within 14 days of the Contract being formed) without giving a reason. To exercise this right, contact us at admin@og-nexus.com with your order details before the cancellation period expires. If you cancel, we will reimburse all payments received from you, including standard delivery costs, within 14 days of receiving any returned Products (or of you providing evidence of return), using the same payment method you used unless otherwise agreed.

This cancellation right does not apply to: digital content supplied on a durable medium where you have consented to immediate performance and acknowledged loss of the cancellation right; Products made to your specification or clearly personalised; sealed goods unsuitable for return for health or hygiene reasons once unsealed after delivery; and Services fully performed with your prior express consent and acknowledgement that you lose the right to cancel once performance is complete.

10. Delivery

We will aim to deliver Products within the estimated timeframe shown at checkout or in your order confirmation; timeframes are estimates only and not guaranteed. Risk in Products passes to you on delivery, and ownership passes once we have received payment in full. If delivery is delayed by an event outside our control, we will let you know as soon as possible and take steps to minimise the delay.

11. Returns, Refunds and Faulty Goods

In addition to your cancellation rights above, under the Consumer Rights Act 2015 you have a legal right to Products that are of satisfactory quality, fit for purpose and as described. If a Product is faulty, not as described, or does not perform as it should, you may be entitled to a repair, replacement, price reduction or refund depending on the circumstances and how long you have had the Product. To make a claim, contact us at admin@og-nexus.com with your order number and details of the fault. This section does not affect your other statutory rights.

12. Subscription Terms

Subscriptions renew automatically at the interval shown at the time of purchase, and payment will be taken automatically using your saved payment method on each renewal date unless you cancel before that date. You may cancel a Subscription at any time via your account or by contacting admin@og-nexus.com; cancellation will take effect at the end of the current paid period unless required otherwise by law, and we do not provide refunds for the unused portion of a current billing period except as required by Section 9 (cancellation within 14 days of a new Subscription) or where the law otherwise requires. We may change Subscription pricing or features on reasonable notice, and you may cancel before any price change takes effect if you do not agree to it. We may suspend or terminate a Subscription where payment fails and is not resolved within a reasonable period after we notify you.

13. Acceptable Use

When using the Website, submitting User Content, or interacting with our Services, you must not:

• post or transmit unlawful, defamatory, obscene, offensive or infringing material;
• attempt to gain unauthorised access to the Website, our systems or other users’ accounts;
• introduce viruses, malware or other harmful code;
• use automated means (bots, scrapers) to access the Website without our consent;
• impersonate any person or misrepresent your affiliation with any person or entity;
• use the Website in any way that infringes the rights of any third party.

14. User-Generated Content

Subject to the foregoing, we will not be liable for any indirect or consequential loss, or for any loss of profits, business, revenue or anticipated savings arising out of or in connection with your use of the Website or any Contract, whether in contract, tort (including negligence) or otherwise. If you are a Consumer, we are responsible only for foreseeable loss and damage caused by us; we are not liable for losses that are not foreseeable, that result from your breach of these Terms, or that relate to your use of the Website for business purposes.

You agree to indemnify and hold us harmless against any claims, losses, damages, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Website, save where such claims arise from our own breach, negligence or default.

By using the Website, you acknowledge that such processing is necessary to fulfil orders, operate Subscriptions and provide our Services.

We will not be liable for any failure or delay in performing our obligations where the failure or delay results from events outside our reasonable control, including strikes, natural disasters, civil unrest, war, utility or network failures, or acts of government. If such an event continues for a prolonged period, either party may cancel any affected Contract by written notice, and any payments made for undelivered Products or unperformed Services will be refunded.

21. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by the laws of England and Wales. If you are a Consumer, you may bring proceedings in the courts of the part of the UK in which you live, and we will bring any proceedings against you in the courts of the part of the UK in which you live. If you are a business customer, the courts of England and Wales will have exclusive jurisdiction.

22. Complaints and Alternative Dispute Resolution

If you have a complaint, please contact us in the first instance at admin@og-nexus.com so we can try to resolve it. If you are a Consumer and we are unable to resolve a dispute directly, you may be able to refer it to an alternative dispute resolution (ADR) provider or use the European Commission’s Online Dispute Resolution platform where applicable. Using ADR does not affect your right to bring legal proceedings.
